Explanation of Responses:
These shares of Restricted Stock vest upon the later of the achievement of
specific performance targets and a specified date.
These options are exercisable after price-vesting targets are met and in any
case on and after February 24, 2011 but no earlier than February 24, 2004. For
each one-third of the option grant, the price vesting targets are a set
percentage increase over the fair market value of the options on the date of
grant. The percentage targets are a 20 percent increase, a 44 percent increase
and a 73 percent increase, respectively, for five trading days of the Company's
closing price on the New York Stock Exchange.
