1. Why is CPF requesting a special meeting of CB shareholders?
CB shareholders, the owners of CB Bancshares, should have a voice in the future of their company. By requesting this meeting, CPF takes a first step to help ensure that the views of CB shareholders on our offer are heard by CBs board and management. This special meeting would give CB shareholders the chance to vote on whether we can acquire a majority or more of CB shares, after other conditions are met, as a first step.
2. What does Hawaii law call for?
CPF delivered a letter and information statement to CB Bancshares requesting the special meeting of CB shareholders. The Hawaii Control Share Acquisitions Statute stipulates that a prospective buyer, like us, may call for a special shareholder meeting. CB is required to respond and set a date within five calendar days of receiving the request, or by May 3rd, and must hold that meeting within 55 calendar days of receiving the request, or before June 22. In the meantime, CPF continues to be open to meaningful, friendly discussions, which weve sought for many weeks.
3. Does this represent the final merger vote?
No. At this meeting, CB shareholders will vote only on whether we can acquire a majority or more of CB shares by our planned exchange offer, or otherwise. If at least a majority of the CB shares, excluding the 88,741 shares we own, are in favor, we can proceed after other conditions are met. If we are successful in acquiring at least a majority of the CB shares, we remain committed to completing a successful merger as a final step that will deliver the many benefits a stronger, locally focused bank can provide to shareholders, customers, employees, and the State of Hawaii.
