This number also excludes any shares of the Company's common stock issuable upon conversion of the Company's 7.25% mandatory convertible preferred stock, assuming the successful completion of the Mandatory Convertible Preferred Stock Offering, and shares issuable under outstanding restricted stock grants. If the applicable market value of the Company's common stock is less than the initial price, then the mandatory conversion rate will be 50.8906 shares of the Company's common stock per share of the Company's mandatory convertible preferred stock (the "maximum conversion rate"), which is equal to $1,000 divided by the initial price.
