This Schedule 13D is being filed by Dr. Mark Rosenfeld (the Reporting Person).
Except as expressly otherwise set forth in this Schedule 13D, the Reporting Person disclaims beneficial ownership of the shares of Common Stock (as defined below) beneficially owned by any other Reporting Person or any other person.
Item 1. |
Security and Issuer |
This Schedule 13D relates to shares of common stock, $.001 par value per share (the Common Stock), of Grant Ventures, Inc., a Nevada corporation (the Company). The address of the principal executive office of the Company is 56 West 400 South, Suite 220, Salt Lake City, Utah 84101. |

Item 2. |
Identity and Background |
Dr. Mark Rosenfeld, a United States citizen, is the Vice President and a director of the Company. The principal business address of Dr. Mark Rosenfeld is 56 West 400 South, Suite 220, Salt Lake City, Utah 84101. |

During the last five years, the Reporting Person has not been: (i) convicted in a criminal proceeding (excluding traffic violations and similar misdemeanors) or (ii) a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws. |

Source and Amount of Funds or Other Consideration |
The shares of Common Stock held of record by the Reporting Person were acquired as a result of the merger transaction described below in Item 4. |

Item 4. |
Purpose of Transaction |
The Reporting Person acquired the shares of Common Stock of the Company as a result of a merger transaction. On July 6, 2004, the Company entered into an Agreement and Plan of Merger (the Merger Agreement) with Impact Acquisition Corporation, a Utah corporation, which is a wholly owned subsidiary of the Company (Merger Sub), and Impact Diagnostics, Inc., a Utah corporation, (IDI). Pursuant to the Merger Agreement, Merger Sub merged with IDI, and IDI remained as the surviving corporation and a wholly owned subsidiary of the Company (the Merger). |

Upon the consummation of the Merger on July 30, 2004, each issued and outstanding common share of IDI (other than shares of IDI to be canceled in accordance with the Agreement) was converted into the right to receive one (1) share of the Companys common stock, par value $0.001 per share (the Merger Consideration). In addition, each option to purchase one share of common stock of IDI was converted into the right to receive an option to purchase one share of the Companys common stock. |

Following completion of the Merger, Stan Yakatan who was the CEO of IDI, was appointed Chief Executive Officer and President of the Company. John Wilson was appointed as CFO and Michael Ahlin and Dr. Mark Rosenfeld were appointed as Vice-Presidents of the Company the same positions they held with IDI prior to the Merger. |

Also as part of the Merger, Stan Yakatan, Michael Ahlin, Jack Levine, Eric Wilkinson, Kevin Crow and Mark Rosenfeld were appointed to the Board of Directors of the Company and Pete Wells and Geoff Williams resigned from the Companys board. The Company intends to appoint a seventh member to its Board of Directors in the future. |

Except as described herein, the Reporting Person does not presently have any plans or proposals that relate to or would result in any of the actions described in subparagraphs (a) through (j) of Item 4 of Schedule 13D. |

Interest in Securities of the Issuer |
(a-b) Dr. Mark Rosenfeld is the beneficial owner of an aggregate of 6,077,050 shares of Common Stock, which constitutes approximately 10.8 % of the issued and outstanding shares of Common Stock as of the date hereof. The number of shares beneficially owned by Dr. Mark Rosenfeld consists of 6,077,050 shares of Common Stock held of record by Dr. Mark Rosenfeld, over which he has sole voting and dispositive power. Dr. Rosenfeld agreed to delay receipt of 4,077,050 of the shares of Common Stock he is entitled to receive as a result of the Merger until such time as the Companys Articles of Incorporation have been amended to authorize the issuance of at least 65 million shares of Common Stock. As a result, until the Companys Articles of Incorporation are so amended, Dr. Rosenfeld will have the power to vote and dispose of 2,000,000 shares of Common Stock. Dr. Rosenfeld does not have any shared voting or dispositive control over any shares of Common Stock of the Company. |
