Item 2.02.   Results of Operations and Financial Condition

On October 26, 2006, Landmark Bancorp, Inc. (the “Company”) issued a press release announcing its earnings for the quarter and nine months ended September 30, 2006.  The press release is attached hereto as Exhibit 99.1.

Item 8.01.  Other Events

On October 26, 2006, the Company also announced in the press release that its Board of Directors approved a cash dividend of $0.19 per share to be paid to all stockholders of record as of November 8, 2006 and payable on November 20, 2006.  A copy of the press release is attached hereto as Exhibit 99.1.
