Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

(c)           On July 28, 2008 the Board of Directors of Overstock.com, Inc. (the “Company”) appointed Jonathan E. Johnson III President of the Company.  Mr. Johnson previously served as the Company’s Senior Vice President, Corporate Affairs and Legal.  Patrick M. Byrne, who previously served as the Company’s President, Chief Executive Officer and Chairman of the Board, will continue to serve as Chief Executive Officer and Chairman of the Board.  In connection with the appointment, the Board increased Mr. Johnson’s salary to $225,000 per year.  The information required by Item 5.02(c) of Form 8-K regarding Mr. Johnson is contained in the Company’s definitive proxy statement for the 2008 annual meeting of stockholders filed with the SEC on March 28, 2008 and is incorporated herein by reference.
