Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On May 7, 2009, the shareholders of RLI Corp. (“RLI”) approved an amendment to RLI’s Articles of Incorporation to increase the number of shares of authorized Common Stock from 50 million to 100 million shares, as previously approved by the Board of Directors.  On May 7, 2009, RLI filed Articles of Amendment to its Articles of Incorporation with the Illinois Secretary of State to increase the amount of its authorized Common Stock (the “Amendment”).  A copy of the Restated Articles of Incorporation, reflecting the Amendment, is filed as Exhibit 3.1 to this Current Report and incorporated herein by reference.
