Item 3.03 Material Modification to Rights of Security Holders.
At a Special General Meeting of Tyco Electronics Ltd. (the Company) held on June 22, 2009 to consider the discontinuance of its existence as a Bermuda company and continuation as a Swiss company (the Swiss Continuation), the shareholders approved amendments to the Companys Bye-laws that (i) eliminated supermajority vote requirements to amend certain anti-takeover provisions and require instead only the affirmative vote of the holders of record of a majority of the shares present and voting (whether in person or by proxy) and entitled to vote on the relevant record date and (ii) changed the share capital of the Company to be 525,000,000 common shares, par value US $2.40 per share and to eliminate 125,000,000 preferred shares par value US $0.20 per share. The foregoing description of the amendments to the Companys Bye-laws is qualified in its entirety by reference to the text of the Companys Amended and Restated Bye-laws, a copy of which is attached hereto as Exhibit 3.1 and is incorporated herein by reference. These Amended and Restated Bye-laws will be in effect only until completion of the Swiss Continuation.

Item 8.01 Other Events.
On June 23, 2009, the Company issued a press release announcing the results of the shareholder vote at the Annual General Meeting and the Special General Meeting. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference. Among other things, all the proposals necessary to approve the Swiss Continuation were adopted.
