On December 24, 2009 Overstock.com, Inc. (the “Company”) issued a press release announcing that the Company had received a letter from the Nasdaq Stock Market granting the Company an exception to enable the Company to regain compliance with Nasdaq’s listing rules.  A copy of the press release is included as Exhibit 99.1 to this Report on Form 8-K.
