Item 8.01 Other Events
On July 9, 2013, Realty Income Corporation (the Company) entered into a purchase agreement with Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, RBC Capital Markets, LLC, U.S. Bancorp Investments, Inc. and Wells Fargo Securities, LLC, as representatives of the underwriters (the Underwriters), pursuant to which the Company agreed to issue and sell $750,000,000 aggregate principal amount of its 4.650% Notes due 2023. The offering is anticipated to close on July 16, 2013.
