(e) Amended and Restated 2011 Stock Incentive Plan
On May 19, 2015, the stockholders of Newport Corporation (the Registrant) approved the Registrants Amended and Restated 2011 Stock Incentive Plan (the Amended Plan), which was previously approved by the Registrants Board of Directors on March 25, 2015, subject to stockholder approval. The Registrants 2011 Stock Incentive Plan was originally adopted by the Registrants Board of Directors in March 2011 and was approved by stockholders in May 2011. The Amended Plan includes the following material amendments to the original 2011 Stock Incentive Plan:
(i) the number of shares of the Registrants common stock authorized for issuance under the Amended Plan has been increased by 4,500,000 shares, to a total of 10,500,000 shares; and
(ii) the term of the Amended Plan has been extended by four (4) years, expiring March 25, 2025.
Certain other amendments are included in the Amended Plan, which are primarily administrative in nature.
A more detailed summary of the principal features of the Amended Plan is set forth in the Registrants Definitive Proxy Statement filed with the Securities and Exchange Commission on April 8, 2015 (the Proxy Statement) and is incorporated herein by reference. A copy of the Amended Plan is included as Appendix B to the Proxy Statement and is incorporated herein by reference as Exhibit 10.1 to this Current Report on Form 8-K. The forms of Restricted Stock Unit Award Agreements and Stock Appreciation Right Award Agreement to be used under the Amended Plan are substantially the same as the forms of agreements established under the original 2011 Stock Incentive Plan, which are filed as Exhibits 10.2, 10.3 and 10.4, respectively, to the Registrants Current Report on Form 8-K filed with the Securities and Exchange Commission on May 23, 2011.
