Item 8.01.             Other Events.

 

In connection with a dispute relating to obligations under a manufacturing services agreement between Momenta Pharmaceuticals, Inc. ( “Momenta”) and Human Genome Sciences, Inc. (“GSK”), the supplier of product for M923, Momenta’s proposed biosimilar to HUMIRA® (adalimumab) candidate, Momenta and GSK have come to an understanding regarding Momenta’s contractual commitments for the purchase of product batches for M923 through 2022. In addition, as part of the resolution of the dispute, Momenta has agreed to pay GSK $15 million by August 15, 2018 and $15 million by July 1, 2019.
