(1)	On 12/28/12, the reporting person made a bona-fide gift of 179,000 shares into a gift trust, of which the reporting person's spouse is trustee, and reporting person's spouse and children are beneficiaries. This gift was timely reported as a disposition on Form 4. Although the reporting person disclaims beneficial ownership, this amendment reflects the aquisition and indirect ownership of these shares as a resuslt of the same gift, which shares have not been reflected in subsequent filings. The gift trust has not disposed of any of these shares as of the filing of this amendment.
(2)	Price is not applicable to acquisitions or dispositions resulting from bona fide gifts.
