Other Events.

On September 3, 2008, KBR announced the completion of its share repurchase program. Since the program commenced on August 6, 2008, the company has repurchased a total of 8.4 million shares at an average price of $23.35 per share.

The press release announcing the completion of the repurchase program is attached hereto as Exhibit 99.1.
