(1) | As previously reported, in connection with Mr. Miodunski's appointment to serve as a director by the Board of Directors (the "Board") of VendingData Corporation (the "Company"), on November 7, 2005 the Company granted to Mr. Miodunski the option to purchase 100,000 shares of the Company's $.001 par value common stock ("Common Stock") at $3.00 per share pursuant to the Company's 1999 Stock Option Plan. The option shares vest over three years with 34,000 shares vesting on November 7, 2006; 33,000 shares vesting on November 7, 2007; and the remaining 33,000 shares vesting on November 7, 2008. |
(2) | As previously reported, on March 7, 2007 the Company issued to Mr. Miodunski options to purchase 10,000 shares of Common Stock pursuant to the Company's 1999 Director's Stock Option Plan (the "Plan") in consideration of his service as a member of the Board in calendar year 2006. These options expire the later of March 6, 2017 or three months after Mr. Miodunski ceases to serve as a member of the Board. |
(3) | On April 9, 2007, 50,000 shares of Common Stock issued to Mr. Miodunski pursuant to a letter of agreement between the Company and Mr. Miodunski dated November 7, 2005 and per shareholder approval. |
