(1)	Evansville Limited became a 10% owner of ARC Wireless Solutions, Inc. (the "Company") on November 26, 2007. Evansville Limited does not own any shares of the Company's common stock at the present time. On November 3, 2008, Evansville Limited transferred all of the 575,763 shares of the Company's common stock it held to an affiliate, Brean Murray Carret Group Inc., without consideration.
