Item 1.01.  Entry into a Material Definitive Agreement.

On September 17, 2009, Franklin Street Properties Corp. (the “Registrant”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Robert W. Baird & Co. Incorporated (the “Underwriter”), pursuant to which the Registrant agreed to issue and sell to the Underwriter 8,000,000 shares of the Registrant’s Common Stock, $0.0001 par value per share, which the Underwriter offered to the public at a price of $13.00 per share (the “Firm Offering”). The Registrant also granted the Underwriter a 30-day option to purchase up to 1,200,000 additional shares to cover over-allotments, which the Underwriter has exercised in full. The Firm Offering and sale of additional over-allotment shares (collectively, the “Offering”) was completed on September 23, 2009.
 
The Registrant received aggregate net proceeds from the Offering of approximately $116,012,000, after deducting underwriting discounts and commissions and before payment of offering expenses of approximately $1,200,000.  Robert W. Baird & Co. Incorporated acted as sole book-running manager in connection with the Offering.
 
The shares issued and sold pursuant to the Underwriting Agreement were registered pursuant to an effective Shelf Registration Statement on Form S-3 (Registration No. 333-158898) and a related prospectus supplement filed with the Securities and Exchange Commission.
 
The foregoing description of the Underwriting Agreement is qualified in its entirety by reference to the full text of the Underwriting Agreement, a copy of which is attached as Exhibit 1.1 and is incorporated by reference into this Current Report on Form 8-K.
