(1)	Mr. Sodhani was appointed to the Board of Directors of Wind River Systems, Inc. (the "Issuer") on July 14, 2009. Mr. Sodhani is the Executive Vice President of Intel Corporation, the President of Intel Capital and the President of APC II Acquisition Corporation, a subsidiary of Intel Corporation ("APC II"). As of July 14, 2009, APC II acquired approximately 87.74% of the Issuer's common stock. Mr. Sodhani disclaims beneficial ownership of the securities except to the extent of his pecuniary interest therein.
