Due to the tender offer being oversubscribed, the Company expects to purchase only a prorated portion of the shares properly tendered by each tendering shareholder. Based on a preliminary count, the Company has been informed by the depositary for the tender offer that the preliminary proration factor for the tender offer is approximately 99.4%, which would result in the reporting person selling 18,697 shares. An amended Form 4 will be filed regarding the number of shares actually sold by the reporting person in the tender offer following the Company's announcement of the final results of its tender offer. |
