Mike Moshayedi, Parto Moshayedi, the M. and P. Moshayedi Revocable Trust, dated 12/30/96, Mark Moshayedi, Semira Moshayedi, the M. and S. Moshayedi Revocable Trust, dated 9/25/98, and each of the Reporting Persons (collectively, the “Shareholders”) have a non-binding understanding that at any shareholders meeting of SimpleTech, Inc. (the “Issuer”) where action is to be taken with respect to the election of directors, each Shareholder agrees to cause the shares of the Issuer’s common stock such Shareholder beneficially owns or controls to be voted in favor of the election of Manouch Moshayedi, Mike Moshayedi and Mark Moshayedi as directors of the Issuer. Manouch Moshayedi, Mike Moshayedi and Mark Moshayedi are family members and each currently serves as executive officers and directors of the Issuer. Based on the non-binding understanding described above, the Reporting Persons may be deemed to be members of a “group” within the meaning of Rule 13d-5(b)(1) of the Securities Exchange Act of 1934, as amended (the “Act”). As the Shareholders collectively own or control approximately 57.5%* of the Issuer’s outstanding common stock as of December 31, 2003, the Issuer is considered a “controlled company” within the meaning of NASDAQ Rule 4350(c)(5). None of the Reporting Persons have the power to vote, to direct the voting of, to dispose, or to direct the disposition of the shares of common stock beneficially owned or controlled by the other Shareholders and each of the Reporting Persons hereby disclaims beneficial ownership for purposes of Section 13(d) or 13(g) of the Act of the shares of common stock beneficially held or controlled by the other Shareholders. |

(2) Included in the number of shares Sophie Moshayedi beneficially owns are 7,687,465 shares held by Manouch Moshayedi & Sophie Moshayedi, as trustees for the M. and S. Moshayedi Revocable Trust, dated 11/16/95. Does not include (i) 41,000 shares held by Sophie Moshayedi’s spouse and (ii) 1,270,496 shares held by the D. and N. Moshayedi Investment Trust, dated 9/25/98 for which Sophie Moshayedi’s spouse serves as co-trustee. Sophie Moshayedi has shared voting and dispositive power with respect to the shares held by the M. and S. Moshayedi Revocable Trust. Sophie Moshayedi has no power to vote or direct the vote or dispose or direct the disposition of any shares of common stock held by her spouse or the D. and N. Moshayedi Investment Trust, and Sophie Moshayedi expressly disclaims beneficial ownership of all of the shares of common stock held by her spouse and the D. and N.
