ITEM 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

  (b) On September 23, 2004, we accepted the resignation of John Hendricks as a member of our Board of Directors. This resignation is part of Mr. Hendricks’ decision this year to step back from his daily business and board activities. As part of this decision, Mr. Hendricks recently relinquished his daily operational responsibilities and CEO role at Discovery Communications, Inc. Mr. Hendricks intends to continue to act as an informal advisor to TiVo.
