Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On April 19, 2006, Moscow CableCom Corp. (the “Company”) received a Nasdaq Staff Determination indicating that, as a result of the Company’s failure to file its annual report on Form 10-K for the year ended December 31, 2005 within the required time frame, the Company is no longer in compliance with the qualification requirements for continued listing as set forth in Marketplace Rule 4310(c)(14), and that its securities are, therefore, subject to delisting from The Nasdaq National Market.

The Company intends to request a hearing before a Nasdaq Listing Qualifications Panel to review the Staff Determination. There can be no assurance that the Panel will grant the Company’s request for continued listing. The Company is working diligently to finalize and file its 2005 Form 10-K as promptly as possible and expects to regain compliance through the filing of its Form 10-K before the April 27, 2006 expiration of the seven day cure period provided for in the Staff Determination letter.
