Item 1.01 Entry into a Material Definitive Agreement.
On July 31, 2006, the Company appointed Joe Millington to the office of Vice President of Human Resources. In connection with the hiring of Mr. Millington, the Company entered into a severance agreement with Mr. Millington that provides, among other things, that, if within 12 months after a change in control the Company terminates his employment or assigns him duties materially inconsistent with his position (a Terminating Event), then he will be entitled to (1) receive a lump sum payment equal to the sum of (i) his average annual base salary over the three fiscal years prior to the Terminating Event and (ii) his average annual bonus over the three fiscal years prior to the change in control, (2) continue vesting in his options for twelve (12) months following the Terminating Event, and (3) receive benefits, including health, dental and life insurance for twelve (12) months following the Terminating Event.
