Item 8.01. Other Events

On December 21, 2006, Seagate Technology issued a press release to announce the signing of a definitive agreement to acquire privately-held Evault, Inc., a leading provider of online backup services. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1.

Evault is one of the industry’s largest, and most profitable, suppliers of online network backup, recovery and data protection solutions for small-medium businesses and remote enterprise computing. Founded in 1997, the company is based in Emeryville, CA, with over 250 employees.

Seagate will acquire EVault in a cash transaction valued at approximately $185 million. The acquisition is subject to various standard closing conditions, including applicable regulatory approvals, and is expected to close in the third quarter of Seagate’s fiscal year 2007.
