Item 1.01 Entry into a Material Definitive Agreement.
On April 24, 2008, NetSuite Inc. (the Company) entered into an amendment (the Amendment) of the commercial lease agreement (the Original Lease) for its corporate headquarters located in San Mateo, California. The landlord for the property is EOP-Peninsula Office Park, L.L.C. Under the terms of the Amendment, the Company will increase the rented area for its corporate headquarters by approximately 34,000 square feet. After the increase, the total area of the corporate headquarters will be approximately 93,000 square feet. The term of the lease for the additional space will commence upon delivery of the additional rented area to the Company, which is expected to occur between June 1, 2008 and September 1, 2008. The Amendment expires on August 31, 2012, which is also the last day of the term of the Original Lease. The Company has the option to renew both the Original Lease and the Amendment for one five-year term. Under the Original Lease and the Amendment, the future minimum lease payments for the Companys corporate headquarters are as follows:

In addition to the above future minimum lease payments, the Company will be responsible for its pro rata share of expenses and taxes for the building, as defined in the Original Lease and the Amendment.
