This Report of Foreign Private Issuer on Form 6-K is deemed filed for all purposes under the Securities Act of 1933, as amended, and the Securities Exchange Act of 1934, as amended, including by reference in the Registration Statement on Form F-3 (Registration No. 33-99550) and the Registration Statement on Form F-3 (Registration No. 333-9180).


On July 11, 2009, Korea Electric Power Corporation (“KEPCO”) entered into a power purchase agreement with Saudi Electricity Company relating to a “Build, Own and Operate” project involving a heavy oil power plant at Rabigh in Saudi Arabia (the “Project”). KEPCO’s involvement under the Project will primarily be with respect to the operation of the plant for a period of 20 years following its construction currently targeted for completion in 2012. The currently estimated aggregate cost of the Project is approximately US$2.5 billion. In connection with the Project, KEPCO, Saudi Electricity Company and Arabian Company for Water and Power Projects Limited will form a joint venture named Rabigh Electricity Company, of which KEPCO is currently expected to own a 40% equity interest.
