Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 29, 2009, the Board of Directors (the “Board”) of Infinera Corporation (the “Company”) appointed Thomas J. Fallon, the Company’s Chief Operating Officer, as a Class I director to serve on the Board until the Company’s Annual Meeting of Stockholders in 2011 and until his successor is duly elected and qualified. Mr. Fallon was appointed to the Board in connection with his transition to the position of President and Chief Executive Officer of the Company upon the resignation of Jagdeep Singh, effective December 31, 2009. More information about Mr. Fallon is available in the Company’s Annual Report on Form 10-K for the year ended December 27, 2008, filed with the Securities and Exchange Commission on February 17, 2009.
