Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Vasant Raval, a director of Syntel, Inc. (“Syntel”), announced on March 2, 2010 that he has resigned from the Board of Directors of Syntel to pursue other interests, effective immediately. Mr. Raval’s decision to resign does not arise from any disagreement on any matter relating to Syntel’s operations, policies, or practices.
