Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 10, 2010, Kurt Noyes, Vice President, Accounting and Treasury, of Entropic Communications, Inc. (the “Company”), informed the Company that he intends to resign to pursue personal interests. Mr. Noyes serves as the Company’s principal accounting officer, reporting to David Lyle, the Company’s Chief Financial Officer. Mr. Noyes will continue with the Company until August 31, 2010 and will remain available to provide consulting services for three months thereafter. Mr. Lyle will assume Mr. Noyes’ duties as the Company’s principal accounting officer.
