(b) On April 19, 2011, Theresa A. Hennesy resigned from her position as Senior Vice President Network Operations of Vonage Holdings Corp. (the “Company”) for personal reasons, effective May 6, 2011. Ms. Hennesy joined the Company on February 16, 2009, and was a named executive officer in 2010. Ms. Hennesy will assist in the permanent transition of her responsibilities for the IT Operations and Advanced Operations Support functions to other members of executive management. Interim responsibility for Network Engineering and Operations will be held by the current senior staff. The Company will promptly commence an external search for an executive to lead Network Engineering and Operations.
