Item 2.01. | Completion of Acquisition or Disposition of Assets. |
On December 9, 2011, Duke Realty Limited Partnership, an Indiana limited Partnership (the Operating Partnership), of which Duke Realty Corporation, an Indiana corporation (the Company), is the sole general partner, completed the sale of substantially all of the Companys wholly-owned suburban office real estate properties in Atlanta, Chicago, Columbus, Dallas, Minneapolis, Orlando and Tampa, consisting of 79 buildings that have an aggregate of 9.8 million square feet (the Portfolio), pursuant to a Purchase and Sale Agreement by and among the Operating Partnership and certain of its subsidiaries and affiliates (collectively, the Seller), and BRE/Central Office Holdings L.L.C., a Delaware limited liability company (the Buyer), an affiliate of Blackstone Real Estate Partners VII. The purchase price, which was determined through arms length negotiations between the Seller and the Buyer, was approximately $1.06 billion which, after settlement of certain working capital items and the payment of applicable transaction costs, was paid in a combination of approximately $1.02 billion in cash and the assumption by the Buyer of approximately $25 million of mortgage debt.
