Dear valued channel partner:

You may know by now that Eaton made a significant announcement on Monday, May 21st. We announced we have reached agreement to acquire Cooper Industries, a leading global electrical equipment manufacturer. We believe this acquisition will significantly increase the capability, size and geographic breadth of our overall power management portfolio and electrical business. This combination also expands our ability to better serve our customers with their demands for critical, energy-saving technologies as they address the impact of the world’s growing energy needs.

You are a very valuable partner and we wanted to reach out to you immediately to share this exciting news. We expect to close the acquisition in the second half of 2012 and until then we can assure you that it is business as usual from every perspective. We have asked our sales and support teams not to speculate on the transaction and not to contact Cooper customers or channel partners in any way until the deal is closed. If you are a current customer of both Eaton and Cooper, you should continue to deal with each company as you have in the past until the acquisition is closed.

We will share any new information with you as it becomes available and we certainly look forward to working with you in the interim and after closing.

Regards,

Frank, Revathi, or Jim
