On May 24, 2012, LSB Industries, Inc. (the Company) held its 2012 Annual Meeting of Stockholders. Approximately 93.9% of the Companys securities entitled to vote at the annual meeting were represented in person or by proxy. At the annual meeting, the stockholders (1) elected five nominees to serve on the Board of Directors for terms expiring in 2015, (2) ratified the appointment of Ernst & Young, LLP as the Companys independent registered public accounting firm for 2012, and (3) approved, on an advisory basis, a resolution approving the 2011 compensation of the Companys named executive officers. The final voting results for each of these matters are set forth below.
