INTRODUCTORY STATEMENT
This Registration Statement on Form S-8 is being filed by Xerox Corporation (the Registrant) for the purpose of registering 25,000,000 shares of the Registrants common stock, par value $1.00 per share (Common Stock), which may be issued upon exercise of options, rights and awards granted and to be granted pursuant to the Xerox Corporation 2004 Performance Incentive Plan, as from time to time amended.

The Registrants Certificate of Incorporation does not contain indemnification provisions.
