Zebra is furnishing this Form 8-K/A to clarify certain comments made on Zebras Third Quarter earnings call on November 10, 2015.
1. | By the end of 2016, Zebra expects to achieve run rate cost synergies of $200 million, compared to our prior estimate of $150 million of run rate cost synergies. Zebra also expects further synergy benefits that will result from Zebras systems integration which is expected to be completed before the end of 2017. |
2. | Zebras gross margin as a percentage of sales guidance for the fourth quarter is 44.5% - 45.5%. The impact of the recent strengthening of the U.S. dollar against the Euro compared to the third quarter had an adverse impact of 30 basis points on each end of the range. Excluding the currency impact, the gross margin guidance range would be 44.8% - 45.8%. |
The information contained in this Form 8-K/A shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the Exchange Act), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

These forward-looking statements are based on current expectations, forecasts and assumptions and are subject to the risks and uncertainties inherent in Zebras industry, market conditions, general domestic and international economic conditions, and other factors. The success of integrating acquisitions, including the Enterprise business of Motorola Solutions, could also affect profitability, reported results and the companys competitive position in it industry.
