Nielsen Holdings plc (the Company) held its annual meeting of shareholders on June 21, 2016 (the Annual Meeting). The Companys shareholders considered eight proposals, each of which is described in more detail in the Companys definitive proxy statement for the Annual Meeting (the Proxy Statement) filed with the Securities and Exchange Commission (the SEC) on April 29, 2016. A total of 324,739,233 shares were represented at the Annual Meeting in person or by proxy, or 90.0% of the total shares entitled to vote. The final voting results for each matter submitted to a vote of shareholders at the Annual Meeting are as follows:
