Item 1.01. | Entry into a Material Definitive Agreement. |
On March 13, 2017, the board of directors, including all of the disinterested directors, of NexPoint Residential Trust, Inc. (the Company) unanimously approved an extension of the Companys Advisory Agreement (the Advisory Agreement) dated March 16, 2015, by and among the Company, NexPoint Residential Trust Operating Partnership, L.P. and NexPoint Real Estate Advisors, L.P., as amended on June 15, 2016, for an additional one-year term pursuant to the terms of the Advisory Agreement. NexPoint Real Estate Advisors, L.P., our advisor, is an affiliate of Highland Capital Management, L.P. (Highland). As of March 13, 2017, Highland and its affiliates owned approximately 19% of our common stock.
