Resignation of Principal Financial Officer

Effective June 15, 2006, Robert O'Callahan resigned as Chief Financial Officer to pursue other interests.

Appointment of Principal Financial Officer

Effective June 15, 2006, Blair Mills was appointed Chief Financial Officer. Mr. Mills is a Certified Public Accountant in the United States, and is also a Chartered Accountant in Canada. In addition to his position as our Chief Financial Officer, Mr. Mills is Chief Financial Officer of Longviewmedia, Inc.
 
Temporarily, Mr. Mills employment relationship with Broadcaster, Inc. is through a contract with Longviewmedia, Inc. It is anticipated that within a matter of two to three months Mr. Mills will become a direct employee of Broadcaster, Inc. pursuant to terms of employment that are currently being discussed.
