Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Subject to approval of the United States Bankruptcy Court for the Southern District of Florida, Fort Lauderdale Division, John R. Boken will become Chief Executive Officer and President of TOUSA, Inc. effective 30 days from execution of Antonio B. Mon's Executive Vice-Chairman Agreement. Mr. Boken has served as Chief Restructuring Officer of the Company since January 30, 2008.

Subject to the terms of that certain Executive Vice-Chairman Agreement, dated May 23, 2008 (the "Agreement"), a copy of which is attached hereto as Exhibit 99.1 and incorporated by reference herein, following a thirty day transition period, Antonio B. Mon, the current Chief Executive Officer, President and Executive Vice-Chairman will remain the Executive Vice Chairman of TOUSA until the earliest to occur of (i) December 31, 2008, (ii) the effective date of any chapter 11 plan submitted in connection with the Company’s and its subsidiaries chapter 11 cases and (iii) thirty (30) days following the delivery of written notice from the Company or Mr. Mon indicating an intention to terminate the Agreement.
