Item 8.01 Other Events.

Certain subsidiaries of Pendrell Corporation entered into a patent license agreement with SK hynix Inc. covering embedded MultimediaCard (eMMC) memory technologies, effective January 8, 2015. Pendrell issued a press release announcing the license agreement, a copy of which is attached.
