State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Neurologix’s quarterly report on Form 10-QSB for the quarter ended June 30, 2007 was filed on August 15, 2007, one day after the date it was due under applicable rules.  The delay in filing was due to unanticipated technical difficulties experienced in formatting the document.  As a result, the inability to file in a timely manner could not be eliminated without unreasonable effort or expense.  Our Form 10-QSB was filed earlier today.

Reference is made to Neurologix’s quarterly report on Form 10-QSB for the quarter ended June 30, 2007, which was filed with the Securities and Exchange Commission on August 15, 2007, for a description of Neurologix’s results of operations for the period involved.
