Item 7.01. Regulation FD Disclosure.

Pebblebrook Hotel Trust (the “Company”) issued a press release on January 30, 2013 announcing that it has acquired the 337-suite Embassy Suites San Diego Bay - Downtown located in San Diego, California. A copy of that press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
A copy of materials about this property that the Company intends to distribute is furnished as Exhibit 99.2 to this Current Report on Form 8-K. Additionally, the Company has posted those materials in the investor relations section of its website at www.pebblebrookhotels.com.
Item 8.01. Other Events.

On January 29, 2013, a subsidiary of the Company completed its acquisition of the 337-suite Embassy Suites San Diego Bay - Downtown (the “Hotel”) located in San Diego, California for $112.5 million from an unaffiliated third party. The purchase price includes the assumption of a $66.8 million first mortgage loan on the Hotel, which bears a fixed interest rate of 6.275% per annum, with monthly payments of principal and interest through June 2016. The cash portion of the purchase price for the Hotel was funded entirely with available cash.
In conjunction with the acquisition, the Company has selected HEI Hotels and Resorts to manage the Hotel.
