On June 12, 2014, the Board of Directors of the Company appointed Fred J. Joseph as a director of the Company, effective as of July 1, 2014. Mr. Joseph was also appointed by the Board to serve as a member of each of the Board’s Audit & Risk Committee and Nominating & Governance Committee.
