Item 8.01 Other Events.
On February 29, 2016, News Corporation (the "Company") announced that it had reached an agreement to settle the previously disclosed class action lawsuit filed by consumer packaged goods companies alleging various antitrust claims arising out of past operations at the Company's News America Marketing division.  Under the terms of the settlement, the Company will pay approximately $250 million, and the pending litigation will be dismissed, subject to court approval.  Additionally the Company will pay approximately $30 million to resolve related claims.  A copy of the Company's press release is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
