Item 8.01.  Other Events.

On September 21, 2016, Finjan Holdings, Inc. (the “Company”) issued a press release announcing that the jury in Finjan, Inc. v. Sophos, Inc. (3:14-cv-01197-WHO) returned a verdict that all five Finjan Patents were found literally infringed by Sophos. The jury verdict, deciding that Finjan was entitled to $15 million in damages for Sophos’ infringement, was reached on September 21, 2016 following a two-week trial.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
