EXPLANATORY NOTE

 

This Registration Statement is filed with respect to an additional 2,000,000 shares of the Registrant’s Common Stock, par value $0.0001 per share (“Common Stock”), that are available for issuance pursuant to the Lantronix, Inc. 2010 Amended and Restated Stock Incentive Plan, as amended (the “2010 Plan”) as a result of the approval of an amendment to the 2010 Plan in November 2017. The shares being registered pursuant to this Registration Statement are in addition to (i) the 1,500,000 shares of Common Stock previously reserved for issuance under the 2010 Plan, which were previously registered on a registration statement on Form S-8 (File No. 333-210982), filed with the Securities and Exchange Commission (the “Commission”) on April 28, 2016, (ii) the 2,743,094 shares of Common Stock previously reserved for issuance under the 2010 Plan, which were previously registered on a registration statement on Form S-8 (File No. 333-188490), filed with the Commission on May 9, 2013, and (iii) the 2,000,000 shares of Common Stock previously reserved for issuance under the 2010 Plan (which included 50,155 shares previously reserved for issuance under the Lantronix, Inc. 2000 Stock Plan), which were previously registered on a registration statement on Form S-8 (File No. 333-172117), filed with the Commission on February 8, 2011.

 

To induce Fathi Hakam to accept employment as the Registrant’s Vice President of Engineering, the Registrant agreed to grant Mr. Hakam 100,000 restricted stock units (the “Inducement RSUs”). The Inducement RSUs were awarded outside of the 2010 Plan. One-fourth (25,000) of the Inducement RSUs shall vest on September 1, 2019, and the remaining Inducement RSUs shall vest ratably each quarter thereafter for a period of 36 months, subject to Mr. Hakam’s continued employment with the Registrant through each such vesting date. The Inducement RSUs were approved by the Registrant’s Board of Directors in compliance with, and in reliance on, NASDAQ Listing Rule 5635(c)(4), which exempts employment inducement grants from the general requirement of the NASDAQ Listing Rules that equity-based compensation plans and arrangements be approved by stockholders. This Registration Statement registers shares of the Common Stock that may be issued upon the settlement of the Inducement RSUs.

 

On March 1, 2017, the Registrant granted inducement stock options (the “Inducement Options”) to Shahram Mehraban, the Registrant’s Vice President of Marketing. The Inducement Options were granted as an inducement to Mr. Mehraban entering into employment with the Registrant, in compliance with NASDAQ Listing Rule 5635(c)(4). Mr. Mehraban received an option to purchase 120,000 shares of the Registrant’s common stock that shall vest according to the following schedule: 25% of the options vest on March 1, 2018 and the remaining options vest ratably each month thereafter for a period of 36 months, assuming Mr. Mehraban remains continuously employed by the Registrant.

A Delaware corporation may indemnify officers and directors in an action by or in the right of the corporation under the same conditions, except that no indemnification is permitted without judicial approval if the officer or director is adjudged to be liable to the corporation in the performance of his duty. The Registrant's Bylaws provide that the Registrant shall indemnify its officers and directors and may indemnify its employees and other agents to the fullest extent permitted by law. The Registrant's Bylaws also permit it to secure insurance on behalf of any officer, director, employee or other agent for any liability arising out of his or her actions in such capacity, regardless of whether the Bylaws would permit indemnification.

 

The Registrant has entered into agreements to indemnify its directors and officers, in addition to the indemnification provided for in the Registrant's Bylaws. These agreements, among other things, indemnify the Registrant's directors and officers for certain expenses (including attorneys' fees), judgments, fines and settlement amounts incurred by any such person in any action or proceeding, including any action by or in the right of the Registrant, arising out of such person's services as a director or officer of the Registrant, any subsidiary of the Registrant or any other company or enterprise to which the person provides services at the request of the Registrant.
