Item 8.01. Other Events.

As of June 9, 2016, Coeur Mining, Inc. (“Coeur” or the “Company”) has completed the $75.0 million “at the market” stock offering (the “Offering”) the Company announced on May 13, 2016. The Company sold a total of 9,253,016 shares in the Offering, raising net proceeds (after sales commissions) of $73.5 million.

The Company expects to use the proceeds of the Offering for general corporate purposes. The Company intends to use cash on hand, which may include a portion of the proceeds from the Offering, to effect a voluntary prepayment of the Company’s $100 million term loan (the “Term Loan”) pursuant to the Credit Agreement dated June 23, 2015 by and among the Company, certain subsidiaries of the Company, the lenders party thereto and Barclays Bank Plc as administrative agent (the “Term Loan Credit Agreement”) early in the third quarter of 2016. The Term Loan Credit Agreement allows for voluntary prepayments at a premium of 105% of the remaining principal amount of the Term Loan after June 25, 2016 but prior to June 25, 2017.
