Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Change in the Company’s Fiscal Year End
On September 1, 2017, the Board of Directors of Dycom Industries, Inc. (the “Company”) approved a change in the Company’s fiscal year end from July to January. Beginning with a six month transitional period ending January 27, 2018, the Company’s fiscal year will end on the last Saturday of January. The Company will file a transition report on Form 10-K containing audited financial statements for the six month period from July 30, 2017 to January 27, 2018. After the transition period, each fiscal year will consist of either 52 or 53 weeks of operations (with the additional week of operations occurring in the fourth fiscal quarter). The Company’s 2019 fiscal year will commence on January 28, 2018 and will consist of 52 weeks.
