Item 2.01 Completion of Acquisition or Disposition of Assets.

On July 22, 2005 Modine Manufacturing Company announced the completion of the spin off of its Aftermarket business and immediate merger of the spun off business into Transpro, Inc. to form a combined company named Proliance International, Inc. The press release is attached as an exhibit hereto.
