Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 13, 2018, the Board of Directors of Air Transport Services Group, Inc. (the “Company”) adopted an amendment (the “Amendment”) to the Company’s Amended and Restated Bylaws (the “Bylaws”) to eliminate a provision in the Bylaws that required approval of the holders of at least two-thirds of the Company’s voting shares to change various provisions in the Bylaws.
Prior to the Amendment, Section 6.10 of the Bylaws provided, among other things, that any amendment, alteration or repeal of Section 2.4, Section 2.6 or Section 3.2 of the Bylaws by the stockholders required the affirmative vote of at least 66 2/3% of the stockholders.
